Welcome to Artistry Freelancing. The terms “we,” “us,” and “our” refer to Artistry Freelancing, and “you” or “client” refers to the individual or entity engaging with our services.
Artistry Freelancing provides creative and production services including, but not limited to, sample development, sewing and soft construction, small-scale production, creative consulting, educational services, and brand events and activations.
By submitting an inquiry, booking a consultation, engaging our services, approving a proposal or estimate, making a payment, signing a contract, or otherwise working with Artistry Freelancing, you acknowledge that you have read, understood, and agreed to these Terms of Service.
1. Services
Artistry Freelancing provides creative services based on the scope, specifications, and requirements established for each project.
Services may include:
Sample development and garment construction
Sewing and soft construction
Patternmaking and technical development
Small-scale or limited production
Creative and production consulting
Sewing instruction and educational services
Brand events, activations, and creative experiences
Other creative services agreed upon in writing
The specific scope, deliverables, fees, timeline, payment schedule, responsibilities, revisions, materials, cancellation terms, and other conditions for each project will be established in a project-specific contract or written agreement between Artistry Freelancing and the client.
In the event of a conflict between these Terms of Service and a signed project-specific contract, the project-specific contract will govern with respect to that project.
2. Consultations and Project Inquiries
Submitting an inquiry does not guarantee acceptance of a project or availability.
Consultations are intended to discuss the client’s project, goals, timeline, budget, and potential scope of work. A consultation does not constitute an agreement for ongoing services unless otherwise confirmed in writing.
Following a consultation, Artistry Freelancing may provide a proposal, estimate, or contract outlining the recommended scope and next steps.
No project is considered confirmed until the applicable agreement has been accepted and any required payment or deposit has been received.
3. Project Agreements and Contracts
Each project may be governed by a separate contract, statement of work, proposal, estimate, or other written agreement.
The project-specific contract will determine the structure of the engagement, including, as applicable:
Scope of services and deliverables
Project fees and payment schedules
Deposits and retainers
Project timeline and deadlines
Materials and sourcing
Client responsibilities
Revision and approval processes
Production quantities
Shipping and delivery
Cancellation and termination terms
Intellectual property and usage rights
Confidentiality requirements
Event or activation requirements
Additional services and expenses
Clients are responsible for reviewing the applicable agreement before approving or beginning a project.
Any changes to the agreed scope or structure of a project should be documented in writing and may require an updated agreement or written amendment.
4. Quotes, Estimates, and Pricing
All quotes, estimates, pricing, and project proposals provided by Artistry Freelancing are based on the information available at the time they are prepared and are intended to provide an anticipated cost for the requested services.
Quotes and estimates are not guaranteed final pricing unless expressly stated in a signed project agreement. Pricing may change if the scope of work, materials, quantities, specifications, production requirements, timeline, or other project conditions change.
Additional work, revisions, materials, rush requests, changes in quantities, third-party expenses, shipping, or other requirements not included in the original estimate may result in additional charges.
The final pricing, payment schedule, and financial terms for a project will be established in the applicable project-specific contract or written agreement.
Once a project contract has been signed and approved, the pricing and payment terms contained within that agreement will govern the engagement, subject to any approved changes or amendments.
5. Timelines and Scheduling
All project timelines, completion dates, production schedules, delivery dates, and estimated turnaround times provided by Artistry Freelancing are estimates and are subject to change.
Timelines are based on the scope and information available at the time of estimation and may be affected by client approvals, revisions, material availability, sourcing, shipping, vendor availability, production requirements, scheduling, or circumstances outside of Artistry Freelancing’s reasonable control.
A timeline provided during an inquiry, consultation, quote, or estimate does not guarantee a specific completion or delivery date unless a specific date has been expressly agreed upon in a signed project contract.
Client delays in providing materials, measurements, feedback, approvals, payments, or other required information may result in changes to the project schedule.
If project circumstances require a significant change to an agreed timeline, Artistry Freelancing will communicate the change and, when appropriate, establish an updated timeline with the client.
6. Materials and Client-Supplied Items
Clients are responsible for providing accurate and complete materials, measurements, specifications, references, files, garments, fabrics, trims, or other items required for their project when applicable.
The applicable project agreement will determine responsibility for sourcing, purchasing, transporting, storing, and maintaining materials.
Artistry Freelancing is not responsible for defects, damage, shrinkage, color variation, incompatibility, or other issues resulting from client-supplied materials or items, except as otherwise provided by the applicable agreement or required by law.
7. Revisions and Approvals
The applicable project agreement will determine the number and type of revisions included in the scope of work.
Clients are responsible for reviewing and approving samples, specifications, designs, measurements, and other project materials within the agreed timeline.
Once a client approves a design, sample, specification, or other deliverable, additional changes may be treated as additional work and may result in additional fees or timeline adjustments.
8. Cancellations and Project Termination
Cancellation and termination terms will be established in the applicable project contract or written agreement.
If a client cancels a project after work has begun, the client may be responsible for payment for work completed, materials purchased, services committed, and other approved project expenses incurred up to the cancellation date, as outlined in the applicable agreement.
Artistry Freelancing may pause or terminate a project if invoices remain unpaid, required information or materials are not provided, project conditions materially change, or continued work is no longer reasonably possible.
9. Intellectual Property
Unless otherwise agreed in writing, Artistry Freelancing retains ownership of its pre-existing concepts, methods, techniques, templates, processes, educational materials, patterns, tools, and other intellectual property developed independently of a specific client project.
Ownership, licensing, usage rights, and permitted applications of project-specific designs, patterns, samples, technical documents, photographs, or other deliverables will be determined by the applicable project contract.
Clients represent that they have the necessary rights and permissions for any materials they provide to Artistry Freelancing.
10. Portfolio and Promotional Use
Unless otherwise agreed in writing, Artistry Freelancing may photograph or document completed work and use images or descriptions of completed projects for its portfolio, website, social media, marketing, educational, and promotional purposes.
Any confidentiality, embargo, or restrictions on portfolio use will be governed by the applicable project agreement.
11. Confidentiality
Confidentiality obligations will be governed by the applicable project contract or confidentiality agreement when applicable.
Both parties agree to use reasonable care in protecting confidential information received in connection with a project.
12. Events and Activations
For brand events, activations, installations, workshops, or other in-person services, the applicable project contract will establish the scope, responsibilities, staffing, venue requirements, equipment, transportation, setup and breakdown, production schedule, insurance requirements, vendors, and other applicable terms.
Additional costs associated with venue requirements, travel, shipping, equipment, outside vendors, labor, or last-minute changes will be handled according to the applicable project agreement.
13. Educational Services
Educational services, including sewing instruction, workshops, and consultations, will be governed by the applicable booking terms, class agreement, or project contract.
Students and participants are responsible for following safety instructions and using equipment, tools, and materials appropriately.
14. Third-Party Services
Certain projects may require third-party vendors, manufacturers, suppliers, venues, shipping providers, contractors, or other service providers.
Where third-party services are required, responsibility for selection, payment, coordination, and performance will be determined by the applicable project agreement.
15. Disclaimer
Artistry Freelancing will perform agreed-upon services with reasonable care and professional skill. Creative and production services involve variables that may affect the final outcome, including material characteristics, manufacturing limitations, client-supplied information, and third-party services.
Artistry Freelancing does not guarantee a particular creative, commercial, production, or business outcome unless expressly agreed to in writing.
16. Limitation of Liability
To the fullest extent permitted by applicable law, Artistry Freelancing will not be liable for indirect, incidental, consequential, special, or punitive damages arising from or related to the services, including loss of profits, business opportunities, revenue, or data.
Any limitation of liability applicable to a specific project may be further addressed in the applicable project contract.
17. Indemnification
To the extent permitted by law, the client agrees to indemnify and hold harmless Artistry Freelancing and its owners, employees, contractors, and representatives from claims, damages, liabilities, and expenses arising from the client’s breach of these Terms, misuse of the services, violation of applicable law, or infringement of a third party’s rights.
Additional indemnification obligations may be established in the applicable project contract.
18. Force Majeure
Artistry Freelancing will not be responsible for delays or failure to perform caused by circumstances beyond its reasonable control, including natural disasters, government actions, labor disruptions, transportation disruptions, illness, utility failures, supply-chain disruptions, or other unforeseen events.
Project-specific agreements may establish additional procedures for addressing such circumstances.
19. Changes to These Terms
Artistry Freelancing reserves the right to update these Terms of Service from time to time.
The most current version will be made available on the website. Updated terms will apply to new projects and engagements entered into after the effective date of the updated Terms unless otherwise agreed in writing.
20. Governing Law
These Terms of Service shall be governed by the laws of the State of New York, without regard to its conflict-of-law principles, unless otherwise required by applicable law.
21. Entire Agreement
These Terms of Service, together with any applicable project contract, proposal, statement of work, estimate, invoice, booking terms, or other written agreement, constitute the understanding between Artistry Freelancing and the client regarding the applicable services.
The project-specific contract will determine the structure and terms of the individual engagement. These Terms provide the general framework governing the relationship between Artistry Freelancing and its clients, while the applicable contract will control the specific details of each project.
In the event of a conflict between these Terms and a signed project-specific contract, the project-specific contract will control with respect to that project.
